Terms of Service

1. Acceptance of Terms & Supersession

By accessing or using 50Pros (“the Platform”), operated by 50Pros Inc. (“we,” “us,” “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Platform.

These Terms supersede and replace all prior agreements, understandings, or arrangements between 50Pros and any user — including, but not limited to, agency clients, listing agreements, activation agreements, and any verbal or written commitments — that relate to the subject matter herein. By continuing to use the Platform after the effective date above, you consent to be bound exclusively by these Terms.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Types & Responsibilities

Buyer accounts allow you to browse agencies, submit projects, and manage leads. Agency accounts allow you to create and maintain a public agency listing. A single user may hold both roles simultaneously.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

4. Permitted Use of the Platform

50Pros provides a directory and matching service for B2B professional services. You may browse agency profiles, read reviews, submit project requests, and use our matching tools. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

5. Agency Listings & Verification

Agencies listed on 50Pros are responsible for the accuracy and completeness of their profile information. 50Pros does not guarantee the quality, reliability, or competence of any listed agency. 50Pros is not a party to any contract between an agency and a buyer.

Verification (“Verified” badge) confirms that an agency has completed our identity and quality checks and paid the applicable verification fee. Verification does not constitute an endorsement. All fees paid to 50Pros are non-refundable (see Section 10: Refund Policy).

50Pros reserves the right to de-list, suspend, or remove any agency profile at our sole discretion, including for inaccurate information, violations of these Terms, or failure to maintain quality standards.

6. Reviews

Reviews must be honest, based on genuine business experiences, and comply with our review guidelines. Fake, incentivized, defamatory, or retaliatory reviews are strictly prohibited. 50Pros reserves the right to moderate, edit, or remove reviews that violate these guidelines.

By submitting a review, you grant 50Pros a perpetual, irrevocable, worldwide, royalty-free license to use, display, reproduce, distribute, and create derivative works from the review content in connection with operating the Platform. This license survives termination of your account.

7. Intellectual Property

All content on 50Pros — including text, graphics, logos, software, compiled data, directory structures, ranking algorithms, and database compilations — is owned by or licensed to 50Pros and protected by intellectual property laws. You may not copy, modify, reverse-engineer, or distribute our content without prior written permission.

By creating a listing, agencies grant 50Pros a non-exclusive, royalty-free license to display their brand name, logo, and profile data on the Platform and in marketing materials promoting the Platform.

8. Prohibited Conduct

You agree not to:

• Scrape, crawl, or extract data from the Platform by any automated means, including bots, spiders, or scripts, except as expressly permitted by our robots.txt file
• Reproduce, republish, or redistribute directory data, agency profiles, review content, or ranking data outside the Platform
• Attempt to reverse-engineer, decompile, or derive the algorithms, scoring, or ranking systems used by 50Pros
• Use the Platform to send unsolicited communications, spam, or marketing materials to agencies or users
• Create fake accounts, submit false project requests, or impersonate another person or entity
• Circumvent or interfere with any security feature of the Platform, including rate limits, access controls, or bot detection
• Use the Platform for any unlawful, fraudulent, or harmful purpose

Violation of the scraping and data extraction prohibitions above may constitute unauthorized access to a protected computer system under the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and equivalent state and international laws, and may result in civil and criminal liability.

9. Fees & Payment

Certain features of the Platform require payment, including agency verification, featured subscriptions, and fixed placement sponsorships. All prices are listed in US dollars. Payments are processed by our third-party payment processor (Stripe) and subject to their terms of service.

Subscription fees are billed on a recurring basis. You may cancel a subscription at any time, but cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days' notice.

10. Refund Policy

All fees paid to 50Pros are final and non-refundable. This includes, without limitation:

• Agency verification fees (one-time)
• Featured placement subscription fees (monthly or annual)
• Fixed placement sponsorship fees
• Any other service fees or charges incurred through the Platform

No refunds will be issued for partial billing periods, unused portions of a subscription, downgraded plans, account suspension or termination (whether initiated by you or by 50Pros), dissatisfaction with service results, or any other reason.

By purchasing any paid feature on the Platform, you acknowledge that you have read and agree to this no-refund policy and waive any right to a chargeback or payment dispute for fees voluntarily paid. Filing a fraudulent chargeback or payment dispute may result in immediate account termination and collection action for all amounts owed.

50Pros may, in its sole and absolute discretion, issue account credits on a case-by-case basis. Any such credit does not establish a precedent or obligation for future credits or refunds. Refunds are only provided where required by applicable law.

11. Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL 50PROS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE PLATFORM OR ANY AGENCY RELATIONSHIP FORMED THROUGH IT.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO 50PROS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless 50Pros and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content you submit to the Platform.

13. Dispute Resolution & Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. The arbitrator's decision shall be final and binding.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO RESOLVE DISPUTES WITH 50PROS ON AN INDIVIDUAL BASIS ONLY, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

Notwithstanding the above, 50Pros may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent unauthorized access to the Platform.

14. Copyright & DMCA

If you believe your copyrighted work has been reproduced on the Platform in a way that constitutes infringement, please send a DMCA notice to hello@50pros.com with: (1) identification of the copyrighted work; (2) identification of the infringing material; (3) your contact information; (4) a statement of good faith belief; and (5) a statement under penalty of perjury that your notice is accurate.

15. Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. No refunds will be issued upon termination (see Section 10). Sections 6 (Reviews license), 7 (IP), 10 (Refund Policy), 11 (Limitation of Liability), 12 (Indemnification), and 13 (Dispute Resolution) survive termination.

16. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or a prominent notice on the Platform. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.
